abstract: The research examines the effect of Corporate Governance, cash position and firm characteristic on dividend policy. Corporate Governance are measured by managerial and institutional ownership. It is also used cash position to measure firm liquidity. Another independent variables is firm characteristic which
are measured by Return On Asset and firm size. This research use Dividend Payout Ratio as a proxy for Dividend Policy. Twenty three firms which are listed at Indonesia Stock Exchange, had a
managerial and institutional ownership and consistantly shared its dividend from 2008-2011 are used as a sample. Data were analyzed using multiple regression analysis. The results show that institutional ownership, cash position had a Positive and significant effect to Dividen Payout Ratio however managerial ownership, Return on Asset and firm size has no significant effect to Divident
Payout Ratio.
