abstract: The purpose of this research is investigate whether Corporate Governance related with Credit Rating. Proxy of Corporate Governance are Ownership Structure, Financial Transparency and Board Structure. Writer also used Firm Size as Control Variabel. This research used 40 firm with Credit Rating that publicated by PEFINDO year 2009-2012 and listed in Bursa Efek Indonesia one year before. Data of this research took from annual report, financial report and PEFINDO’s site. Logistic Regression is selected to test the model research. The result of this research, Credit rating are: (1) insignificant with Number of Blockholders; (2) positively related with Percentage of Insider Ownership and Quality of Public Accounting Firm; (3) negatively related with Percentage of Independent Commissioners
